Description

Discussion of the comparative advantages and disadvantages of sole proprietorships, partnerships, and corporations from the legal and tax viewpoints. Limited partnerships are reviewed. The formation, operation, merger, consolidation, and dissolution of the close and publicly held corporation and the rights, powers, and liabilities of directors, officers, and stockholders are covered. Regulation of publicly held corporations by the Securities Exchange Commission and stockholders' derivative suits are reviewed. The purchase and sale of corporate stock and corporate assets are studied.
